LOS TRANCOS WOODS COMMUNITY ASSOCIATION

ARTICLES OF ASSOCIATION

 

I.               NAME

            The name of the association shall be the Los Trancos Woods Community Association.

 

II.             PURPOSE

            The purpose of the Los Trancos Woods Community Association shall be to advance the health, safety, and general welfare of the residents and property owners in Los Trancos Woods.

 

III.            MEMBERSHIP

A.            Any adult, permanent or temporary, resident or property owner, in Los Trancos Woods shall be eligible for membership in this Association.

B.            Dues shall be set by the Executive Board of the Association.

 

IV.          EXECUTIVE BOARD

A.            The Executive Board of the Association shall consist of four District Representatives and four Alternates, one each from each of the four Districts whose boundaries are described in the Appendix, three Representatives-at-Large chosen without regard to District boundaries, a President, a Secretary, a Treasurer, and an Emergency Preparedness Coordinator. District Representatives and Representatives-at-Large shall be elected in September by the membership to serve for a period of two years. The President, the Secretary, the Treasurer, and the Emergency Preparedness Coordinator may be elected from the membership or from the chosen Representatives for a term of two years. The President shall then preside at meetings of the Executive Board and at meetings of the Association.

B.            Any member of the Association shall be eligible to serve on the Executive Committee Board. Nominations shall be made by members of the Association and in the following manner: 1) from the floor at an annual meeting of the Association, or 2) by written notice to the Secretary of the Executive Board. No member shall be elected until he/she has signified his/her acceptance of the nomination.

C.            Each member may vote for a President, Secretary, Treasurer, Emergency Preparedness Coordinator, three Representatives-at-Large and the District Representative and Alternate from the District in which he/she resides.

D.            The three candidates for Representatives–at-Large polling the largest number of votes shall be elected. In each District the candidate(s) polling the most votes shall be elected District Representative and Alternate. Tie votes shall be broken by lot.

E.             If for any reason an office on the Executive Board becomes vacant, the Executive Committee Board shall fill it by appointment. The appointee must be an individual eligible for election to this office.

F.         There are a possible 15 members on the Board but only 11 votes, because each District only receives one vote.

 

V.            MEETINGS AND ELECTIONS

A.            There shall be one annual meeting of the Association in September of each year. The date of this meeting shall be fixed in September by written communication to each member before the meeting.

B.            The Executive Board may call meetings of the Association by a written notice to each member. The Executive Board shall so call a meeting upon receipt of a petition bearing the signatures of at least 15 percent of the membership.

C.            Each member in the Association shall have one vote except in matters affecting property rights, in which case, tenants will be excluded. Such votes shall proceed in a manner to be determined by the Board.

 

VI.          TRANSACTION OF BUSINESS

A.            The membership may take any action consistent with these Articles, either by majority vote of those present at any duly called meeting of the Association, or by majority of votes cast in written ballot. Any action so adopted shall be binding upon the Executive Board.

B.            A proposal, requiring the vote of the membership for enactment, shall be presented to the membership by written ballot. This shall be within fifteen days after a petition requesting such written ballot has been presented to the Secretary of the Executive Board. A petition must bears the signatures of at least fifteen percent of the membership.

C.            Meetings of the Executive Board may be called by the President or by any three members of the Board. A majority of the voting members of the Board shall constitute a quorum of the Executive Board. All meetings shall be held in Los Trancos Woods and shall be open to any member of the Association desiring to attend. Minutes of all meetings shall be open to the inspection of any member of the Association.

D.            The Executive Board shall have authority to transact the business of the Association, subject to the following conditions: 1) any restriction made in these Articles, 2) any resolution enacted at a meeting of the Association, or 3) enacted by a written vote.

 

VII.         AMENDMENTS

A.            These Articles may be amended by a two-thirds vote at a meeting of the Association duly called by the Executive Board, provided the proposed amendment has been submitted in writing by the Executive Board to the membership in advance of the meeting.

B.            These Articles may be amended by two-thirds of the ballots cast in a written vote. The provisions of Section B of Article VI shall apply.

The Districts into which Los Trancos Woods is divided for area representation are as follows (including all residences and property therein):

 DISTRICT I                     -Ramona Road from 103 through 167; Carmel Way; Los                                                             Trancos Road from 1008 through 1036.

 DISTRICT II                    -Los Trancos Road from 1044 through 1183; Foxwood Road.

 DISTRICT III                   -Los Trancos Road from 1184 through 1263; Los Trancos Circle from                    184 through 176; Bonita Road; El Rey Road.

 DISTRICT IV                   -Lake Road; El Nido Road; Old Spanish Trail from 21 through 205; Los                      Trancos Circle from 160 through 120
