LOS TRANCOS WOODS COMMUNITY ASSOCIATION

ARTICLES OF ASSOCIATION

 

I.               NAME

           The name of the association shall be the Los Trancos Woods Community Association.

 

II.             PURPOSE

           The purpose of the Los Trancos Woods Community Association shall be to provide a forum for and to address matters of interest to the residents and property owners in Los Trancos Woods.

 

III.            MEMBERSHIP

A.    Any adult resident (21 or older), permanent or temporary, renter or property owner, in Los Trancos Woods shall be eligible for Membership in this Association (Members).

B.    Dues shall be set by the Executive Board of the Association.

 

IV.          EXECUTIVE BOARD AND ELECTIONS

A.    The Executive Board of the Association shall consist of four District Representatives, one from each of the four Districts whose boundaries are described in the Community Resource Guide, and three Representatives-at-Large chosen without regard to District boundaries.  District Representatives and Representatives-at-Large shall be elected by the Membership in September to serve until the end of September, two years later.  The officers of the Board shall consist of a President, a Secretary, a Treasurer, and an Emergency Preparedness Coordinator, and shall be chosen by the Executive Board from its ranks for the length of their terms on the Board. 

B.    Any Member of the Association shall be eligible to serve on the Executive Board.  Members of the Association may provide nominations to any member of the Executive Board.  No Member shall be elected until he/she has accepted the nomination.

C.   Each Member may vote for four nominees, at least one of whom shall be from the voterŐs own District.

D.   In each District, the nominee from that District polling the most votes from the District shall be elected District Representative.  Of the remaining nominees, the three polling the largest number of votes from the overall community shall be elected Representatives–at-Large.  Tie votes shall be broken by lot.

E.    If for any reason an office on the Executive Board becomes vacant, the Board shall fill it by appointment.  The appointee must be a Member of the Association.

F.    If elections are not held before the terms of Executive Board expire, then any Association Member or group of Members can assemble a slate of nominees and run an election as long as:

1.      At least 30 daysŐ notice is provided in writing to all Association Members prior to the elections,

2.     The ballot includes any additional people nominated by Members at least 15 days prior to the election date, and

3.     The election is otherwise held in compliance with this section of these Articles.

G.    Meetings of the Executive Board may be called by the President or by any three members of the Board. A majority of the voting members of the Board shall constitute a quorum. All meetings shall be open to any Member of the Association desiring to attend. Minutes of all meetings shall be open to the inspection of any Member of the Association.

H.   The Executive Board shall have authority to transact the business of the Association, subject to the following conditions: 1) any restriction made in these Articles, 2) any resolution enacted at a meeting of the Association, or 3) any resolution enacted by a written vote.

 

V.            MEETINGS

A.    There shall be at least one meeting of the Association each year. The date for each meeting shall be set by the Executive Board and communicated to the Association Members at least 10 days before the meeting.

B.    The Executive Board shall call a meeting or conduct a written vote within 30 days of receipt of a petition requesting the meeting or vote bearing the signatures of at least 15 percent of the Association Membership.

C.   The Association Membership may take any action consistent with these Articles, either by majority vote of those present, including proxies, at any duly called meeting of the Association, or by majority of votes cast in written ballot.   Any action resulting from such a vote shall be binding upon the Executive Board.

D.   Each Member in the Association shall have one vote except in matters affecting property rights, in which case there will be one vote per residence by the owner(s).  Such votes shall proceed in a manner to be determined by the Board.

 

    VI     AMENDMENTS

These Articles may be amended by a two-thirds vote at a meeting of the Association called by the Executive Board or by two-thirds of the ballots cast in a written vote as specified in Section V.  The provisions of Section D of Article V shall also apply.  Anyone who wishes to vote and cannot attend an Association Meeting may cast their vote by submitting it in writing (on paper) to a Board member.
